The "Wondoria Platform" is a web-based ecosystem designed to facilitate the trading of blockchain-based digital collectibles. Our platform is enhanced by applications, forums, cutting-edge technologies, and a governance module that recognizes and rewards active users, providing them with a meaningful voice within the Wondoria community. Wondoria supports a diverse range of blockchains, subject to periodic updates at the sole discretion of Wondoria. This may include, but is not limited to: Ethereum, Arbitrum, Arbitrum Nova, Optimism, Polygon, BNB Smart Chain, Base, Linea, Zora, and Avalanche —each recognized as a "Wondoria-Supported Blockchain." You and any other individuals who have registered for an Account (defined below) collectively constitute a "User" whose engagement with the Service may involve:

(a) Accessing, Downloading, or Using Components: Users may access, download, or utilize any component of the Service.

(b) Collectible Transactions: Users may engage in the purchase or receipt of Collectibles via any component of the Service.

(c) Token Transactions and Communication: Users may employ, send tokens to, receive tokens from, send messages to, or otherwise transact through any component of the Service.

(d) Wondoria's Native Governance Token (WON): Users may use, transfer, vote, buy, sell, or receive Wondoria's native governance token, WON.

(e) Participation in Governance Module: Users have the opportunity to participate in, access, or utilize Wondoria's governance module. It's important to note that these activities collectively contribute to the vibrant and dynamic experience offered by the Wondoria Service.

  1. Wondoria Account

To agree to these Terms and use the Wondoria Service, you must meet the following eligibility criteria:

  1. Age Requirement: You must be at least 18 years old. If you are the parent or legal guardian of a child under 18 years of age ("Minor"), you may allow the Minor to use the Service solely through your Account, provided it is done with your approval and oversight. As the Account holder, you are responsible for all actions conducted through your Account, including financial charges and legal liability, even if incurred by a Minor. By agreeing to these Terms, you indemnify Wondoria for any violation or disaffirmation of the Terms by your Minor.
  2. Representation and Warranty: By agreeing to these Terms, you represent and warrant that:
    • (a) You are at least 18 years old.
    • (b) You are not currently suspended or permanently banned from the Service.
    • (c) Your registration and use of the Service comply with all applicable laws and regulations.
  3. Prohibited Parties: You confirm that you, and if applicable, your entity, are not:
    • (a) Identified on any list of prohibited parties under any law or by any nation, government, state, or other political subdivision thereof.
  4. Legal Source of Funds: The tokens, digital assets, or other funds used to purchase Collectibles on the Wondoria platform are not derived from, and do not represent the proceeds of, any activities done in violation or contravention of any law.
  5. Entity Representation: If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have the authority to bind you to these Terms, and you agree to be bound by these Terms.

By using the Wondoria Service, you affirm your understanding and acceptance of these eligibility requirements and agree to comply with them throughout your use of the Service.


Accounts and Registration

To initiate the registration process for an account on the Wondoria Service (“Account”), it is requisite to furnish a blockchain address and establish a direct link to a third-party Wondoria-Supported Blockchain node. Alternatively, you may establish an indirect link through any Wondoria-Supported Blockchain cryptocurrency wallet application, such as the web browser extension Metamask (each referred to as a “Wallet”).

By embarking on this registration process, you affirm that the information provided is accurate, complete, and devoid of any misleading elements. Moreover, you commit to maintaining the accuracy of this information, ensuring it remains up to date at all times. The onus lies solely with you to maintain the confidentiality of your Account, assuming responsibility for all activities transpiring under its purview. In the event of suspecting a compromise to the security of your Account, prompt notification to us at [email protected] is imperative.

The utilization of a Wallet in conjunction with the Service necessitates adherence to the terms and conditions stipulated by the pertinent provider of the Wallet. It is imperative to note that Wallets operate independently of, are not maintained by, and hold no affiliation with Wondoria. Wondoria neither possesses custody nor control over the contents of your Wallet, lacking the capability to retrieve or transfer its contents. Consequently, Wondoria bears no responsibility or liability for your use of a Wallet. No representations or warranties are made concerning the operational compatibility of the Service with any specific Wallet. The onus is entirely on you to ensure the security of your Wallet, with a strict prohibition on sharing your Wallet credentials or seed phrase with any third party. In the event of discovering any issues pertaining to your Wallet, please liaise directly with your Wallet provider.


Creator Account

Within the Wondoria Service, a distinctive feature is provided for Creators, enabling them to "tokenize" their content, exemplified by the creation of ERC-721 tokens, commonly known as "NFTs" (Non-Fungible Tokens). These NFTs encapsulate the Creator's unique content, spanning collectibles, artwork, videos, game items, and more, collectively referred to as a "Collectible." The primary functionalities encompass the sale, trade, or other forms of distribution of these Collectibles via the Service.

Collectibles and Non-Fungibility: NFTs, designed to be "non-fungible," are distinguished by a Uniform Resource Identifier ("URI") pinpointing a suitably configured JavaScript Object Notation file, denoted as the "Collectible ID." This mechanism ensures the unique and non-replicable nature of each Collectible, emphasizing its distinctiveness within the Wondoria ecosystem.

Creator Terms and Conditions: In the event that you utilize the Service to mint Collectibles, it is imperative to conduct a comprehensive review and concurrence with the "Creator Terms and Conditions." This step is crucial for Creators and necessitates the establishment of a dedicated "Creator Account."

By creating a Creator Account, you engage with a specialized interface tailored to the needs of content tokenization. This interface, governed by the Creator Terms and Conditions, facilitates the seamless minting, management, and distribution of Collectibles, offering Creators a unique space within the Wondoria platform.

This Creator Account framework is designed to empower Creators in navigating the intricacies of content tokenization, ensuring a secure and specialized environment for the creation and dissemination of their unique and valuable digital assets.

Your General Covenants, Representations, and Warranties

In utilizing the Wondoria Service, you acknowledge and affirm the following covenants, representations, and warranties:

(a) Non-Contravention: Your utilization of the Service does not and is not reasonably expected to result in a breach, default, contravention, or violation of any applicable laws, contracts, or agreements to which you are a party or bound, whether with or without notice, lapse of time, or both.

(b) No Claim, Loan, Ownership Interest, or Investment Purpose: Your actions, including the purchase, sale, holding, receipt, and use of NFTs, Collectibles, or the Service, do not:

  • (i) Represent or constitute a loan, contribution of capital, or other investment in Wondoria, its business, or ventures.
  • (ii) Confer any ownership interest, equity, security, or rights in Wondoria or any other business or venture.
  • (iii) Create, imply, or entitle you to benefits of any fiduciary or agency relationship between Wondoria, its directors, officers, employees, agents, or affiliates, and yourself.

You expressly confirm that your engagement with these Terms is not driven by an investment motive in Wondoria or its securities but is solely for the intended purposes of using the Service.

(c) Non-Reliance: You possess knowledge, experience, and sophistication in evaluating blockchain and related technologies and assets, including Wondoria-Supported Blockchains, NFTs, Collectibles, and "smart contracts" deployed to a blockchain. Your engagement is based on your independent investigation and analysis of the Service and related matters. You have not relied on any information, statement, omission, representation, or warranty, express or implied, written or oral, unless expressly set forth by Wondoria in these Terms.

(d) Taxes: You are solely responsible for assessing any Taxes applicable to your use of the Service, including tax liabilities associated with the sales of your NFTs. "Taxes" encompass taxes, duties, levies, tariffs, and other governmental charges that you may be required to collect and remit to governmental agencies. This includes municipal, state, federal, national, or other withholding, and personal or corporate income taxes.

By using the Service, you acknowledge and affirm these covenants, representations, and warranties as integral components of your agreement with Wondoria.


Payment Terms

In the course of buying, selling, or transferring Collectibles through the Wondoria Service, users should be aware of potential fees, commissions, royalties, and other charges, including but not limited to:

  1. Marketplace Fees:
    • Standard marketplace service fees associated with transactions on Wondoria-Supported Blockchains between users ("Marketplace Fees").
  2. Commissions on Secondary Sales:
  3. Commissions on secondary sales of Collectibles, payable to the creators of such Collectibles.
  4. "Gas Fees" paid to Wondoria-Supported Blockchain miners in ETH or other cryptocurrency through your Wallet. This serves as consideration for the mining of your transactions.
  5. Gas Fees:

Changes to Fees:

  • Wondoria reserves the right to modify the Marketplace Fees for any feature of the Service, introducing additional fees or charges, with or without advance notice to users.
  • Users will be given an opportunity to review and accept the Fees before making any payments.

Currency and Refund Policy:

  • All Fees are denominated in ETH or other cryptocurrency.
  • Fees are non-refundable, except as mandated by applicable law.

Users are encouraged to stay informed about any changes to the fee structure by reviewing the terms and conditions periodically. By engaging with the Service, users implicitly agree to these payment terms and the associated fee structure.

Wondoria, exercising its sole discretion, reserves the right to introduce promotional offers featuring different features and varied pricing. These offers may be extended to any subset of users based on criteria determined by Wondoria.

By utilizing the Service, users acknowledge Wondoria's authority in determining pricing structures and understand that promotional offers may be made at Wondoria's discretion.

  1. Ownership; Proprietary Rights

The Wondoria Service stands as the exclusive creation, owned, and operated by Wondoria. All components comprising the Service, including visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and any other elements collectively referred to as "Materials," are safeguarded by intellectual property and other pertinent laws.

Material Ownership:

  • All Materials provided by Wondoria within the Service are the sole property of Wondoria or are duly licensed from third-party licensors.
  • Unauthorized utilization of the Materials is strictly prohibited unless expressly authorized by Wondoria.

Trademarks:

  • "Wondoria" and associated logos are registered trademarks exclusively owned by Wondoria.
  • Any additional trademarks visible within the Service belong to their respective owners.

Wondoria retains all rights to the Materials not explicitly granted in these Terms. Users are reminded of the importance of respecting intellectual property and proprietary rights, with unauthorized use of these Materials strictly prohibited.

License Restrictions:

Unless a restriction is impermissible under applicable law, you are expressly prohibited from engaging in the following actions:

    • You grant Wondoria an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback.

Export Tools:

  • Wondoria may offer tools within the Service that empower users to export information, including User Content, to third-party services. This can be facilitated through features enabling the linking of your Account with accounts on third-party services (e.g., Twitter or Facebook) or through the implementation of third-party buttons (e.g., "like" or "share" buttons).

Information Transfer:

  • By utilizing these export tools, you explicitly agree that Wondoria may transfer the provided information to the relevant third-party service.

Third-Party Services:

  • Third-party services are beyond Wondoria's control, and, to the fullest extent permitted by law, Wondoria disclaims responsibility for how these services utilize the information exported from the Service.

Linked Websites:

  • The Service might incorporate links to third-party websites.
  • Linked websites are not under Wondoria's control, and Wondoria assumes no responsibility for the content of these linked websites.

Third-Party Software

The Wondoria Service may encompass or integrate third-party software components that are commonly available free of charge. These components are subject to licenses that afford recipients extensive rights, including the ability to copy, modify, and distribute those components ("Third-Party Components").

License Rights:

  • Recipients of the Service are provided access to Third-Party Components under the terms of these Terms.
  • The terms of these Terms do not impede, limit, or intend to impede or limit users from acquiring Third-Party Components under the corresponding third-party licenses.
  • Users are not restricted in their use of Third-Party Components by the terms of these Terms but are instead governed by the applicable third-party licenses.

This provision clarifies that users are free to obtain and utilize Third-Party Components in accordance with the rights granted by the respective third-party licenses, irrespective of the terms outlined in these Terms of Service.

Third-Party Offerings and Content

References, links, referrals, or connections to third-party resources, products, services, or content, including smart contracts developed or operated by third parties, may be provided to users in conjunction with the Service. Additionally, third parties may extend promotions related to the Service. It is crucial to note the following:

    • Wondoria does not endorse or assume responsibility for any activities, resources, products, services, content, or promotions owned, controlled, operated, or sponsored by third parties.

User Content Overview

Beyond the specific guidelines outlined in the Creator Terms and Conditions for creating and posting Collectibles, the Service provides a platform for Users to contribute content in various forms. Users have the option to submit, upload, publish, broadcast, or transmit content—collectively referred to as "User Content." This encompasses a diverse range, including messages, reviews, photos, videos or audio (including sound or voice recordings and musical recordings within the video or audio), images, folders, data, text, and other creative works.

  1. Inclusion of Collectibles:
    • Notably, Collectibles fall under the broader umbrella of User Content.
  2. Retaining Ownership:
  3. Users maintain the copyright and other proprietary rights for the User Content they share on the Service, with the exception of rights explicitly waived by the user.

License Grant to Wondoria

When you post User Content to or via the Service, you grant Wondoria a comprehensive license with the following terms:

  1. Scope of License:
    • A worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid license.
  2. Rights Granted:
  3. The right and license, including the right to sublicense through multiple tiers.
  4. The ability to host, store, transfer, display, perform, reproduce, and modify User Content for the purpose of formatting for display.
  5. The right to create derivative works as authorized in these Terms.
  6. The right to distribute your User Content, in whole or in part, in any media formats and through any media channels, both existing and developed in the future.
  7. All rights granted in these Terms are provided on a through-to-the-audience basis. This means that the owners or operators of external services using the Service will not have any separate liability to you or any other third party for User Content posted or otherwise used on external services via the Service.

When uploading a photograph or image to the Service featuring one or more individuals, please adhere to the following terms:

  1. License to Depicted Individuals:
    • You extend an irrevocable, perpetual, royalty-free, fully paid-up, worldwide license to the individuals portrayed in the photograph. This license also covers their administrators, guardians, heirs, and trustees (if any).
  2. Authorized Usage:
  3. The granted license permits these individuals to reproduce, distribute, and publicly display the photograph for personal use and across various online platforms, including the Service, Facebook, Instagram, and Twitter.
  4. It's important to note that this license explicitly forbids the use of the photograph to promote any third-party product, good, or service.
  5. The license provided does not authorize the subjects of the photo or their representatives to sell the image or photograph, whether as a standalone item or as part of any product.

Ownership and Representation of User Content

When posting User Content, it is crucial to acknowledge and adhere to the following guidelines:

  1. Rights Ownership:
    • You should only post User Content if you are the rightful owner or possess full authorization to grant rights for all elements of that User Content.
  2. Liability Disclaimer:
  3. Wondoria disclaims any and all liability associated with User Content. As the user, you bear sole responsibility for your User Content and the outcomes of sharing it via the Service.
  4. By sharing User Content via the Service, you affirm, represent, and warrant the following:
    • (a) You are the creator and owner of the User Content or hold the necessary licenses, rights, consents, and permissions. These authorizations enable Wondoria and other Service Users to use and distribute your User Content as required to exercise the licenses granted in this section.
    • (b) Your User Content, and its Posting or other use as outlined in these Terms, will not infringe upon any third-party rights, including but not limited to copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property, contract, or proprietary right. It also will not violate any laws or regulations or necessitate additional licenses, royalties, fees, compensation, or attributions to third parties.
    • (c) Your User Content does not reasonably appear objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate to a reasonable person.

  1. No Obligation to Control or Edit:
    • We are not obligated to edit or control User Content posted by you or other Users. Wondoria will not assume responsibility or liability for User Content.
  2. Content Screening and Removal:
  3. Wondoria reserves the right, at any time and without prior notice, to screen, remove, edit, or block any User Content at our sole discretion, especially if we judge it to violate these Terms.
  4. When using the Service, you acknowledge that you may be exposed to User Content from diverse sources. This content might be inaccurate, offensive, indecent, or objectionable.
  5. Wondoria makes no representations or warranties regarding the quality, origin, or ownership of any content found in the Service. We are not liable for errors, misrepresentations, or omissions in the content, nor for its availability.
  6. Wondoria will not be liable for any losses, injuries, or damages arising from the purchase, inability to purchase, display, or use of content. By using the Service, you agree to waive any legal or equitable rights or remedies against Wondoria concerning User Content.
  7. If alerted by a User or content owner about User Content allegedly not conforming to these Terms, we may investigate and decide, at our sole discretion, whether to remove the User Content without notice.

1. Reporting a Claimed Infringement:

  • If you believe that any content available on or through Wondoria has been used or exploited in a way that infringes upon your intellectual property rights, please follow the steps outlined below.

2. Submit a "Notification of Claimed Infringement":

  • Swiftly send a written notification to our Designated Agent, as identified above, including the following details:
  • (a) An electronic or physical signature of the authorized person acting on behalf of the owner of the copyright or other infringed right.
  • (b) A description of the copyrighted work or intellectual property right that has allegedly been infringed.
  • (c) Details about the material you claim is infringing, specifying its location on Wondoria, and providing a URL link to the material on our website.
  • (d) Your contact information: address, telephone number, and email address.
  • (e) A statement affirming that you genuinely believe the use of the materials on Wondoria, which you are reporting, is not authorized by the copyright or intellectual property right owner, its agent, or the law.
  • (f) A statement asserting the accuracy of the information in your notice, under penalty of perjury, and confirming that you are the copyright or intellectual property right owner or are authorized to act on their behalf.

Handling Repeat Infringements

1. Removal and Termination:

  • Wondoria is committed to promptly removing or disabling access to materials that, upon receiving notice in good faith from an intellectual property rights owner or their authorized agent, is believed to infringe the intellectual property rights of a third party.
  • In cases of repeated or egregious infringement of copyright or other intellectual property rights, Wondoria reserves the right to terminate the accounts of and block access to the Service by the offending user.

2. Identification of Repeat Infringers:

  • Wondoria will identify users as repeat infringers if they are determined, at Wondoria's discretion, to repeatedly or egregiously infringe on other people’s copyright or intellectual property rights.

3. Account Suspension or Termination:

  • Users found to be repeat infringers will have their accounts terminated, as determined by Wondoria.
  • Additionally, Wondoria reserves the right to suspend or terminate accounts at its sole discretion.

Counter Notification Process:

1. Right to Counter Notification:

  • Upon receiving a Notification of Claimed Infringement regarding material made available by you on or through the Service, you have the right to submit a "Counter Notification."

2. Submission of Counter Notification:

  • For a Counter Notification to be effective, it must be in writing and provided to Wondoria’s Designated Agent using one of the methods identified in Section below.

3. Required Information for Counter Notification:

  • The Counter Notification must include the following information:
    • Your physical or electronic signature.
    • Identification of the material that was removed or disabled, along with its previous location.
    • A statement, made under penalty of perjury, that you have a good faith belief that the removal or disabling resulted from a mistake or misidentification.
    • Your name, address, telephone number, and a statement consenting to the jurisdiction of the Federal District Court.

4. Acceptance of Service of Process:

  • You must agree to accept service of process from the person who provided the original notification of claimed infringement or their agent.

Reposting of Content Subject to a Counter Notification:

If you submit a Counter Notification to Wondoria in response to a Notification of Claimed Infringement, Wondoria will take the following steps:

  1. Notification to Complainant:
    • Wondoria will promptly provide the person who provided the Notification of Claimed Infringement with a copy of your Counter Notification.
  2. Restoration of User Content:
  3. Wondoria will inform the complainant that the removed User Content will be replaced or access to it will be restored in 10 business days.
  4. Wondoria will replace the removed User Content and cease disabling access to it not less than 10, nor more than 14, business days following the receipt of the Counter Notification, unless Wondoria’s Designated Agent receives notice from the party that submitted the Notification of Claimed Infringement that such person has filed an action seeking a court order to restrain the user from engaging in infringing activity relating to the material on Wondoria’s system or network.

  1. Permitted & Prohibited Conduct on the Wondoria Service

Allowed Uses. The Wondoria Service is designated solely for legal consumer entertainment and artistic purposes.

Prohibited Uses. When utilizing the Service, you agree not to, either directly or indirectly:

  • (a) Utilize the Service for any unlawful purpose or in violation of local, state, national, or international laws;
  • (b) Harass, threaten, demean, embarrass, bully, or harm any other User of the Service;
  • (c) Violate or encourage others to violate the rights of a third party, including by infringing or misappropriating any third-party intellectual property right;
  • (d) Access, search, or use any portion of the Service through the use of any unauthorized tools or mechanisms, including spiders, robots, crawlers, and data mining tools;
  • (e) Interfere with security-related features of the Service, including disabling or circumventing features that prevent or limit the use or copying of any content or attempting to discover the source code of any portion of the Service, except as expressly permitted by applicable law;
  • (f) Disrupt the operation of the Service or any User’s enjoyment, including uploading or disseminating any malicious code, making unsolicited offers or advertisements, collecting personal information without consent, or interfering with the network, equipment, or server used to provide the Service;

  • (m) Engage in or attempt to engage in or assist in hacking or attacking the Service, including “sybil attacks,” “DoS attacks,” or “griefing attacks,” or theft of Collectibles, digital assets, or funds, or upload files containing harmful software;
  • (n) Knowingly sell or transfer any Collectible, or use any Collectible in a manner that infringes or may infringe on any intellectual property or proprietary rights of others;
  • (o) Commit any violation of applicable laws, rules, or regulations;
  • (p) Use the Service for additional services such as surveys, contests, pyramid schemes, chain letters, junk email, spamming, or any unsolicited messages;
  • (q) Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others;
  • (r) Publish, post, distribute, or disseminate any profane, obscene, pornographic, indecent, or unlawful content, pictures, topics, names, materials, or information.
  • (s) Engage in or knowingly facilitate any "rug pulls," "front-running," "wash trading," "pump and dump trading," "ramping," "cornering," or fraudulent, deceptive, or manipulative trading activities, including:
    • (i) Trading Collectibles at successively lower or higher prices to create or induce a false, misleading, or artificial appearance of activity, unduly or improperly influencing the market price or establishing a price that does not reflect the true state of the market.
    • (ii) Creating or inducing a false or misleading appearance of activity in any Collectibles by executing transactions that involve no material change in beneficial ownership or entering orders for the purchase or sale of Collectibles with knowledge of substantially similar orders.
    • (iii) Participating in, facilitating, assisting, or knowingly transacting with any pool, syndicate, or joint account organized to unfairly or deceptively influence the market price of Collectibles.
  • (t) Use the Service to transact in securities, commodities futures, trading of commodities on a leveraged, margined, or financed basis, binary options (including prediction-market transactions), real estate or real estate leases, equipment leases, debt financings, equity financings, or other similar transactions.
  • (u) Use the Service to buy, sell, or advertise personal, professional, or business services.
  • (v) Use the Service to engage in token-based or other financings of a business, enterprise, venture, DAO, software development project, or other initiative, including initial coin offering, DAO initial coin offering, initial exchange offering, yield farming, or other token-based fundraising events.
  • (w) Use the Service for money laundering, terrorist financing, or other illicit finance.
  • (x) Attempt to engage in any of the acts described in this Section 9.2 or assist or permit any person in engaging in any of the acts described in this Section 9.2.

Modification of Terms:

Wondoria explicitly disclaims responsibility for Collectibles traded among Users on the Service. The platform neither investigates nor assures the authenticity, originality, uniqueness, marketability, legality, or value of any Collectibles exchanged on the Service.

Specifications: The unique properties of an NFT are governed by its Collectible ID, which encompasses Collectible Descriptors (name and description), Collectible Image, and additional metadata known as "Collectible Metadata."

Intellectual Property: In the absence of a legal agreement, owning or holding Collectibles does not guarantee any license or ownership of the Collectible Metadata or other associated intellectual property.

Platform's Discretion: Wondoria reserves the right to remove specific Collectibles or restrict their creation at its sole discretion, especially if there is a belief that such Collectibles violate the platform's Terms.

Non-Commitment: Wondoria does not commit to and will not be held liable for any failure to support, display, offer, or continue to support, display, or offer any Collectibles for trading on the Service.
